AGREEMENT FOR SALE OF A FLAT IN A CO-OPERATIVE HOUSING SOCIETY

 

This Agreement for Sale is made and entered into on this 2nd day of August, 2025 BY AND BETWEEN Mr. Rajesh Malhotra, son of Late Shri Harish Malhotra, aged about 58 years, residing at B-17, East of Kailash, New Delhi 110065, hereinafter referred to as the “Vendor” (which expression shall, unless repugnant to the context or meaning thereof, mean and include his heirs, legal representatives, administrators, executors and assigns) of the FIRST PART

AND

Ms. Renuka Sinha, daughter of Shri V.K. Sinha, aged about 32 years, residing at Flat No. 304, Tower 3, DLF New Town Heights, Sector 90, Gurugram – 122505, hereinafter referred to as the Purchaser (which expression shall, unless repugnant to the context or meaning thereof, mean and include her heirs, legal representatives, administrators, executors and assigns) of the SECOND PART.

To note:

1.     The Vendor is the absolute and exclusive allottee and lawful owner of Flat No. A-302, having a super built-up area of 1,450 sq. ft., situated on the 3rd Floor of Tower A, in the Unity Co-operative Group Housing Society Ltd., bearing Registration No. GH/XYZ/2004, located at Plot No. 23, Sector 4, Dwarka, New Delhi 110075, along with one covered car parking space in the stilt area of the building.

2.     The said flat was allotted to the Vendor by the said Co-operative Group Housing Society and the Vendor holds valid share certificates issued by the society bearing Share Certificate No. UC/SC/0981, comprising Shares Nos. 241–245, each of Rs. 100, fully paid-up.

3. The Vendor has paid all dues, maintenance charges, and other levies till the date of this Agreement and has a clear, marketable, and encumbrance-free title in respect of the said flat.

4.     The Purchaser has approached the Vendor for the purchase of the aforesaid flat, and the Vendor has agreed to sell the same to the Purchaser for a total consideration of Rs. 1,15,00,000/- (Rupees One Crore Fifteen Lakhs only), on the terms and conditions set forth hereunder.

 

NOW THIS AGREEMENT WITNESSETH AS UNDER:

 

1.     That the Vendor hereby agrees to sell and the Purchaser agrees to purchase the above- mentioned flat, together with all fixtures, fittings, rights to common areas, amenities, appurtenances, and membership/shareholding in the said Co-operative Society, for a total consideration of Rs. 1,15,00,000/- (Rupees One Crore Fifteen Lakhs only).

2.     That the Purchaser has paid to the Vendor an amount of Rs. 11,00,000/- (Rupees Eleven Lakhs only) as token/advance money by way of RTGS/NEFT to the Vendor’s account, the receipt of which the Vendor hereby acknowledges. The balance sum of Rs. 1,04,00,000/- (Rupees One Crore Four Lakhs only) shall be paid at the time of execution and registration of the sale deed.

3.     That the Vendor shall hand over vacant physical possession of the said flat, along with all original title documents, no-dues certificate from the society, and other necessary papers to the Purchaser at the time of execution and registration of the sale deed.

4.     That the said flat is free from all charges, encumbrances, litigation, liens, mortgages, or third-party claims of any nature whatsoever. The Vendor hereby assures the Purchaser that he has the full right and authority to sell the said flat.

5.     That the Vendor shall apply for and obtain a No Objection Certificate (NOC) from the Co-operative Housing Society for the sale of the said flat and the transfer of membership   and   shares   in   favour   of   the   Purchaser. The Vendor and the Purchaser shall jointly submit necessary applications/forms to the society and undertake all formalities for transfer of membership.

6.     That all stamp duty, registration charges, and other expenses in relation to the execution and registration of the sale deed shall be borne by the Purchaser, while the society transfer charges, if any, shall be borne equally by both parties unless otherwise required by the society.
