BUSINESS CENTRE AGREEMENT

THIS AGREEMENT made at New Delhi this 24th day of July 2025 BETWEEN Mr. Arun Verma, adult, Indian Inhabitant, having address at Flat No. 202, DLF Capital Greens, Moti Nagar, New Delhi – 110015, hereinafter referred to as the OWNER (which term shall, unless repugnant to the context, include his heirs, executors, administrators, and assigns), of the ONE PART AND Ms. Kavita Bansal, adult, Indian Inhabitant, having address at: B-17, Sector 40, Gurugram, Haryana – 122003, hereinafter referred to as the CLIENT (which term shall, unless repugnant to the context, include her heirs, executors, administrators, and assigns), of the OTHER PART.

THIS AGREEMENT IS WITNESSETH AS FOLLOWS:

1.     The OWNER is the absolute owner and in possession of the premises being a fully furnished Business Centre bearing No. 402, Fourth Floor, Global Business Hub, Karol Bagh, New Delhi – 110005 (hereinafter referred to as the “said Business Centre”).

2.     The OWNER has agreed to allow, and the CLIENT has agreed to use the said Business Centre on a non-exclusive basis purely on a Leave and Licence basis for business use only.

3.     The term of this Agreement shall be for a period of 11 (eleven) months commencing from the date of possession, unless terminated earlier in accordance with this Agreement.

4.     The CLIENT shall pay to the OWNER a monthly Licence Fee of ₹45,000 (Rupees Forty-Five Thousand only) payable in advance on or before the 5th day of each calendar month.

5.     The CLIENT shall additionally pay monthly charges of ₹5,000 (Rupees Five Thousand only) towards electricity, water, and maintenance expenses, also payable in advance.

6.     The CLIENT shall deposit a sum of ₹90,000 (Rupees Ninety Thousand only) as refundable Security Deposit with the OWNER, which shall not carry any interest and shall be refunded upon termination of this Agreement subject to adjustments.

7.     The CLIENT shall use the premises strictly for business/commercial purposes only and shall not carry on any illegal, immoral, or prohibited activities therein.

8.     The CLIENT shall not sub-licence, assign or transfer her rights under this Agreement to any third party.

9.     The OWNER shall retain the right to inspect the premises during reasonable hours with prior notice to the CLIENT.

10.  The CLIENT shall maintain the premises in good condition and shall not make any alterations or additions without the prior written consent of the OWNER.

11.  All fixtures, furniture, and equipment provided by the OWNER shall be used responsibly and kept in good working order by the CLIENT.

12.  Any damage to the premises or furnishings beyond normal wear and tear shall be repaired or replaced at the cost of the CLIENT.

13.  The OWNER shall ensure continuous access to water supply, electricity, and other essential services during the tenure of this Agreement.

14.  The CLIENT shall not create any tenancy or sub-tenancy or claim any tenancy rights, and it is expressly understood that this is a mere Licence Agreement.

15.  Either party may terminate this Agreement by giving 30 (thirty) days’ prior written notice to the other.

16.  Upon termination, the CLIENT shall peacefully vacate the premises, handing over possession along with all items as received in good condition.

17.  The OWNER shall refund the Security Deposit within 15 (fifteen) days from the date of CLIENT vacating the premises, after adjusting dues if any.

18.  Any dispute arising out of this Agreement shall be subject to the jurisdiction of the courts at New Delhi.

19.  This Agreement shall not be deemed to confer any right, title, or interest in the said Business Centre on the CLIENT.

20.  The OWNER shall not be liable for any loss or damage to the CLIENT’s goods or property in the said Business Centre.

21.  The CLIENT shall comply with all statutory rules, regulations, and requirements applicable to the use of the said Business Centre.

22.  The CLIENT shall ensure that noise levels are kept within acceptable limits and shall not cause any nuisance to other occupants of the building.

23.  The OWNER shall be entitled to recover damages or losses incurred due to any breach by the CLIENT of the terms of this Agreement.

24.  Notices under this Agreement shall be served in writing and delivered by hand or registered post or email to the addresses mentioned above.

25.  This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, if any.

26.  Any amendment to this Agreement shall be made in writing and signed by both parties.

27.  The CLIENT shall not put up any signage or hoarding outside or on the premises without prior written approval from the OWNER.

28.  The CLIENT shall be responsible for the safe disposal of commercial waste generated during the use of the said Business Centre and shall comply with all applicable municipal and environmental regulations in this regard.

29.  The CLIENT shall ensure that all her employees, visitors, and vendors observe building security protocols and do not inconvenience or interfere with the use or enjoyment of other licensees or occupants of the building.

30.  The OWNER shall not be responsible for any indirect loss, business interruption, or consequential damages incurred by the CLIENT due to breakdown of utilities or force majeure events beyond the OWNER’s control.

IN WITNESS WHEREOF the parties hereto have hereunto set and subscribed their respective hands and seals the day and the year first hereinabove written.
